How Company Registration Works, and What Belgium Charges

How a Belgian company is registered, from the first decision to the enterprise number.
  1. Decide the form and the seat. Choose BV/SRL, NV/SA or another form and fix the seat's Region: Brussels-Capital, Flanders or Wallonia. The Region decides which body issues a professional card and which access-to-profession checks the business counter runs.
  2. Open the Belgian bank account. Open an account in the company's name before the deed is drafted; the federal business portal states the account comes first. No Belgian authority publishes how long this normally takes.
  3. Sign the incorporation deed. A Belgian notary executes the deed: in person, by proxy (Art. 5:11 CSA), or by videoconference before two notaries. The digital platform finishes in 5 working days for natural-person-only companies, 10 otherwise (Art. 2:22/1 CSA).
  4. File and publish. The notary files the deed at the enterprise court registry within 30 days (Art. 2:8 CSA); legal personality begins that day (Art. 2:6 CSA). Publication in the Moniteur belge makes it opposable (Art. 2:14 CSA).
  5. Register with the KBO/BCE, VAT and UBO. An accredited business counter finalises the KBO/BCE entry and the activity codes. Activate VAT with form 604A before trading starts, and file the UBO register entry within 30 days of incorporation.

The arithmetic is ours, not the state's: EUR 217 plus EUR 298 plus EUR 236.50 plus EUR 111.50 comes to EUR 863 excluding VAT on the electronic-filing route, about EUR 1,021 including VAT on the notarial lines. The writing duty and search costs the notary bills separately have no published amount, so this total excludes them.

For an NV/SA the notarial fee is not a fixed tariff. The Moniteur and KBO lines above still apply, and the notary quotes the deed separately.

How much does it cost to register a company in Belgium?

The published state and tariff charges for a standard BV/SRL are EUR 217 and EUR 298 to the notary, EUR 236.50 for the Moniteur belge, and EUR 111.50 for the KBO/BCE: EUR 863 excluding VAT. That excludes the notary's search costs and writing duty, billed separately. Our own fee follows once we see what you are setting up.

Can a foreigner register a company in Belgium?

Yes. Nothing in the Companies and Associations Code ties shareholding to nationality or residence. The only nationality gate is the professional card, and it applies to a non-EEA founder who will be self-employed in the company, not to owning shares in it (Art. 2:147 CSA).

Do I need to be a Belgian resident, or have a Belgian resident director?

No. A foreign-resident director is deemed to elect domicile at the company's statutory seat for the service of writs, and a sole director, natural or legal person, is permitted (Art. 2:147, Art. 5:70 CSA). Nothing in the Code asks where a director or a shareholder lives.

Do I have to travel to Belgium to sign the incorporation deed?

No. A shareholder may appear by a power of attorney (Art. 5:11 CSA), or the deed can be executed by videoconference before two notaries, with the absent party represented by proxy. The fully digital platform is faster still, but whether a founder with no Belgian eID can log in to it is unconfirmed, so we do not promise it.

How long does it take to register a company in Belgium?

The notarial platform route completes in 5 working days for a company formed only by natural persons on the model deed, or 10 working days otherwise (Art. 2:22/1 CSA). The real constraint is usually the bank: no Belgian authority or bank publishes a service level for opening the account the deed needs first.

What is the minimum capital for a Belgian company?

None for a BV/SRL: the law asks for sufficient own funds and a financial plan instead of a capital figure (Art. 5:3, 5:4 CSA). An NV/SA needs EUR 61,500 (Art. 7:2 CSA). If a BV/SRL fails within three years on manifestly insufficient funding, the founders answer for it personally (Art. 5:16, 2° CSA).

Which company form should I choose?

It depends on the founders, the liability accepted and the capital committed. The table above compares BV/SRL, NV/SA, SC/CV, SNC/VOF and SComm/CommV on founders, capital, liability and deed type; Company Registration Belgium: Company Types in Belgium goes through each form in full.

Which Region should the registered office be in, and does it matter?

Yes. The seat's Region, Brussels-Capital, Flanders or Wallonia, decides which regional body issues the professional card and which access-to-profession checks the business counter runs at registration. What does the company have to do every year, once it exists?

Approve the annual accounts within six months of the year end and file them with the NBB within 30 days of approval (Art. 3:1, 3:10 CSA), pay the annual company contribution, confirm the UBO register even with no change, and issue structured e-invoices over Peppol, mandatory since 1 January 2026.

What is the enterprise number, and where do I look a company up?

The enterprise number is the KBO/BCE identifier every Belgian company carries on its acts, invoices and website (Art. 2:20 CSA). To search an existing company instead of registering a new one, search the KBO/BCE public search directly, or read the company register page for the fuller guide.

Do I need a Belgian bank account before the deed?

In practice, yes: the federal business portal states the account must be opened before the deed is drafted. And the blocked-account duty is not NV/SA-only, as older guidance suggests: a BV/SRL's cash contributions also go to a special account at an EEA credit institution before the notary can proceed (Art. 5:9, read with Art. 5:8, CSA).

What is the annual company contribution, and who pays it?

EUR 399.73 where the balance-sheet total is under EUR 858,605.72, EUR 998.47 above it: 2025 amounts, the most recent published. It is paid to a social insurance fund, not the tax authorities, by the company, and a 1% monthly surcharge for late payment is recoverable from the directors personally.
